Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cevi platform, website, and services (collectively, the "Service") provided by Cevi Inc ("Cevi," "we," "us," or "our"), a Delaware corporation located at 16192 Coastal Hwy, Lewes, DE 19958, United States. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you must not use the Service.
2. Description of Service
Cevi provides an AI-powered healthcare operations platform that automates administrative workflows for medical practices, including but not limited to appointment scheduling, insurance verification, prior authorization, prescription management, patient communication, and revenue cycle operations. The Service integrates with electronic health record systems and other third-party tools.
3. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
You must be at least 18 years old to create an account. Each account is for a single organization. You may not share account credentials across organizations.
4. Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Service for any purpose that violates applicable federal, state, or local law, including HIPAA, state privacy laws, or healthcare regulations; (b) attempt to gain unauthorized access to any portion of the Service; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or disassemble any aspect of the Service; (e) use the Service to store or transmit malicious code; or (f) use the Service to send unsolicited communications.
5. Healthcare Compliance
Cevi operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). We will enter into a Business Associate Agreement (BAA) with each customer that requires one. You are responsible for ensuring that your use of the Service complies with all applicable healthcare laws and regulations, including HIPAA, HITECH, and applicable state privacy laws.
You acknowledge that the Service provides automation tools and is not a substitute for professional medical judgment. Clinical decisions remain the responsibility of licensed healthcare providers. Cevi does not provide medical advice, diagnosis, or treatment.
6. Data Ownership and Processing
You retain all rights to the data you submit to the Service ("Customer Data"). You grant Cevi a limited, non-exclusive license to process Customer Data solely to provide and improve the Service. We will not sell, share, or use Customer Data for purposes unrelated to the Service without your explicit consent.
Cevi processes Customer Data in accordance with our Privacy Policy and applicable data protection laws. We maintain administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of Customer Data.
7. Fees and Payment
Fees for the Service are described in your order form or subscription agreement. Unless otherwise stated, fees are billed monthly or annually in advance. All fees are non-refundable except as required by law or as specifically stated in your agreement. We may change fees upon 30 days written notice. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
8. Service Level and Availability
Cevi targets 99.9% uptime for the Service, excluding scheduled maintenance windows. We will provide reasonable advance notice of planned maintenance. We are not liable for downtime caused by circumstances beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
9. Intellectual Property
The Service, including all software, algorithms, designs, documentation, and trademarks, is owned by Cevi and protected by intellectual property laws. These Terms do not grant you any rights to Cevi's intellectual property except the limited right to use the Service as described here.
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform obligations under these Terms or as required by law.
11. Warranties and Disclaimers
Cevi warrants that the Service will perform materially in accordance with its documentation. EXCEPT FOR THIS EXPRESS WARRANTY, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEVI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL CEVI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless Cevi from any claims, damages, losses, or expenses arising from: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law; or (c) your Customer Data.
14. Term and Termination
These Terms remain in effect until terminated. Either party may terminate by providing 30 days written notice. Cevi may suspend or terminate your access immediately if you breach these Terms. Upon termination, we will make your Customer Data available for export for 30 days, after which we may delete it.
15. Dispute Resolution
Any dispute arising under these Terms will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Delaware.
16. General Provisions
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. If any provision is found unenforceable, the remaining provisions continue in effect. We may update these Terms by posting the revised version on our website with an updated effective date.
